GyFTR Corporate Gifting — Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of the Corporate Gifting services offered by GyFTR (Vouchagram India Pvt. Ltd.) through its Website (https://www.gyftr.com) and mobile application. By accessing or using our Corporate Gifting services (including bulk issuance, CSV/API uploads, dashboards, and delivery via Email/SMS/WhatsApp), you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you are acting on behalf of an organisation, you represent and warrant that you are duly authorised to bind such organisation to these Terms, and your use of the services is for legitimate business purposes in compliance with applicable law and your organisation’s internal policies.
1. Definitions
- Client, You, Your: Any individual or organisation using the Corporate Gifting services.
- GyFTR, Company, We, Us: Vouchagram India Pvt. Ltd.
- Services: Corporate Gifting services including issuance, delivery, redemption support, dashboards, and related offerings.
- Vouchers/Gift Vouchers (GVs): Prepaid vouchers, gift cards, or similar instruments facilitated by GyFTR.
2. Privacy & Data Protection
GyFTR is committed to protecting personal data in compliance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and other applicable laws.
For Corporate Gifting, we may process:- Business contact information.
- Business contact information.
- Recipient lists provided by Clients.
- Delivery and redemption metadata.
- Associated programme records.
All such processing is carried out in accordance with our Privacy Policy. Clients confirm that they have obtained valid consents and lawful bases before sharing recipient data with GyFTR.
3. Confidentiality
All Client records are treated as confidential. Disclosure shall only occur to: - Brand/issuer partners (for voucher issuance/redemption); Delivery partners (Email/SMS/WhatsApp vendors).
Payment processors and banks; CRM/helpdesk providers; - Auditors, regulators, and authorities, where required by law.
Such disclosures are limited to the performance of services, with confidentiality safeguards in place.
4. Payment Terms
- Payments for Corporate Gifting orders may be made via: Credit/Debit Cards, UPI, Wallets, Netbanking, Bank transfer, payment link, or as otherwise agreed in invoices/quotations.
- Unless otherwise specified, all prices are exclusive of GST and other statutory levies. Orders are processed only after receipt of cleared funds. Delays in payment may affect issuance and delivery timelines.
5. Availability & Delivery
- Voucher issuance and delivery timelines are indicative and subject to cleared payments, issuer availability, and accurate recipient data.
- Deliveries via SMS/WhatsApp are subject to DLT/telecom and WhatsApp Business policies.
- We reserve the right to suspend or cancel orders that violate law, issuer restrictions, anti-bribery/anti-corruption standards, or GyFTR platform policies.
6. Cancellations & Refunds
- Cancellations are permitted only before voucher issuance/activation. Once issued, cancellations are subject to issuer policies.
- Orders may be cancelled if: (a) payment is not received; (b) the requested GV is unavailable; (c) issuer declines issuance; or (d) suspected fraud/abuse is detected.
- Refunds, where approved, will be processed to the original payment method or converted to GyFTR Epay Points (1 point = ₹1), subject to issuer rules and applicable law.
- Reissues may be attempted for undelivered vouchers (invalid email/number) where permitted by issuer rules. Expired vouchers are non-refundable.
7. Client Obligations
- The Client agrees that :- Vouchers will not be used for resale, encashment, or unlawful purposes. • The Client agrees that: - Vouchers will not be used for resale, encashment, or unlawful purposes. - Vouchers shall not be used in violation of Anti-Bribery/Anti-Corruption or Anti-Money Laundering laws. Recipient data provided to GyFTR is accurate, complete, and lawfully collected.
8. Disclaimer & Limitation of Liability
- GyFTR provides services on an “as is” basis without warranties of accuracy, completeness, merchantability, or fitness for purpose.
- The Company is not responsible for issuer/merchant terms, redemption restrictions, product availability, or quality of goods/services provided by merchants.
- To the maximum extent permitted by law, GyFTR’s aggregate liability in relation to any Corporate Gifting order shall not exceed the fees paid by the Client for that specific order.
9. Intellectual Property
- All content, trademarks, and IP on the GyFTR platform are owned by Vouchagram India Pvt. Ltd. or its licensors. Clients may not use, copy, or reproduce GyFTR or issuer marks without prior written consent.
10. Force Majeure
- Neither party shall be liable for delays or failures due to events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, strikes, or systemic outages.
11. Governing Law & Jurisdiction
- These Terms are governed by the laws of India. Subject to arbitration, the courts at New Delhi shall have exclusive jurisdiction for disputes, including interim relief under Sections 9, 11, 34, and 36 of the Arbitration and Conciliation Act, 1996.
12. Dispute Resolution & Arbitration
- Disputes shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be referred to a sole arbitrator in New Delhi, in accordance with the Arbitration and Conciliation Act, 1996.
- Proceedings shall be conducted in English.
- The arbitral award shall be final and binding.
- Emergency/interim relief may be sought from courts without waiving arbitration rights.
13. Amendments
GyFTR reserves the right to amend these Terms at any time. Material changes will be notified on the Website/App or via email. Continued use of services after updates constitutes acceptance.
